1. Acceptance of These Terms

By accessing asterionllc.io or by installing or using the Asterion for Spreadsheets Excel add-in (the "Add-in"), you agree to these Terms of Use. If you do not agree, please do not use the site or the Add-in.

2. The Add-in Is a Free Tool, Provided "As Is"

Asterion for Spreadsheets is a free Microsoft Excel add-in that helps you build Dayforce-compatible XML import files from spreadsheet data. It is provided free of charge and on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. You are responsible for reviewing and validating any output before relying on it or importing it into any system.

3. No Affiliation with Dayforce

Asterion LLC and the Asterion for Spreadsheets add-in are independent and are not affiliated with, endorsed by, sponsored by, or otherwise associated with Dayforce, Inc. "Dayforce" is a trademark of its respective owner; we reference it solely to describe compatibility — the Add-in produces files intended for import into Dayforce. All other trademarks are the property of their respective owners.

4. Acceptable Use

You agree to use the site and the Add-in only for lawful purposes and in accordance with these Terms. You agree not to misuse, resell, redistribute, or reverse-engineer the Add-in for redistribution, nor to interfere with or disrupt the site, the Add-in, or their underlying infrastructure.

5. Your Data

The Add-in processes your spreadsheet content and any employee data entirely within Excel on your own device; that content is not transmitted to Asterion. The only information the Add-in may send to us is an optional contact form, which you may skip. How we handle that information is described in our Privacy Policy.

6. Intellectual Property

The Add-in, the site, and their contents (excluding your own data and any third-party trademarks) are owned by Asterion LLC and are protected by applicable intellectual-property laws. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Add-in for its intended purpose. No other rights are granted.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Asterion LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or business, arising out of or related to your use of (or inability to use) the site or the Add-in, even if advised of the possibility of such damages. Because the Add-in is provided at no charge, our total aggregate liability for any claim relating to it will not exceed the amount you paid for it (which is zero). Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.

8. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Your continued use of the site or the Add-in after changes take effect constitutes your acceptance of the revised Terms.
